EU BUSINESS ACCOUNT TERMS OF SERVICE AND RETURNS, REFUNDS & CANCELLATION POLICY

OVERVIEW

This website (tfaspeed.com) is operated by Terra Firma Auto Group (“Terra Firma,” “we,” “us,” or “our”), 357 Oak Street, Suite B, Athens, Georgia 30601. These Terms of Service, including the Returns, Refunds & Cancellation Policy below (together, the “Terms”), govern access to the site and all wholesale purchases.

By creating a wholesale account, placing an order, or using the Service, you (“Customer,” “you”) agree to these Terms. If you do not agree, do not use the site or place orders.

These Terms are written for wholesale / business customers. Consumer “cooling-off” and similar retail-return statutes do not apply. Purchases on third-party sites (including eBay or Shop) may be subject to different rules.

We may update these Terms by posting a revised version on this page. Continued use after posting is acceptance. Review this page periodically.

The store is hosted on Shopify Inc.

SECTION 1 – WHOLESALE ACCOUNT AND ELIGIBILITY

By applying for or using a wholesale account, you represent that:

  • you are a business or sole proprietor purchasing primarily for resale or commercial use;
  • you are of legal age and authorized to bind the business;
  • all account information (legal name, address, tax ID/EIN, resale certificate if applicable, contacts) is accurate and current.

We may approve, deny, suspend, or terminate any wholesale account at our sole discretion.

SECTION 2 – DISPLAY OF YOUR BUSINESS ON TFASPEED.COM

As a condition of a wholesale account and wholesale pricing, you grant Terra Firma a non-exclusive, royalty-free, worldwide license to display your business name, logo (if provided), city/state, website URL, and a brief description as a customer, dealer, or reseller on tfaspeed.com and related marketing.

You may revoke this permission in writing. We will remove the listing within a reasonable time after receipt. This grant does not create a partnership, joint venture, or agency.

SECTION 3 – CONFIDENTIALITY OF PRICING, DATA, AND PHOTOGRAPHS

Wholesale pricing, product data, inventory information, fitment data, catalog information, supplier details, and any other non-public commercial information provided by Terra Firma (collectively, “Confidential Information”) is proprietary to Terra Firma.

All photographs, images, product photos, graphics, and other visual content on tfaspeed.com or otherwise provided by Terra Firma (collectively, “Photographs”) are the exclusive property of Terra Firma or its licensors and are protected by copyright and other intellectual-property laws.

You agree that you will not:

  • share, disclose, publish, post, or distribute Terra Firma wholesale pricing or other Confidential Information to any third party;
  • display Terra Firma wholesale prices publicly (including on websites, marketplaces, social media, forums, or price-comparison tools);
  • use Confidential Information to compete with Terra Firma or to solicit Terra Firma’s suppliers or other customers;
  • reproduce, copy, download, scrape, modify, distribute, publish, post, or otherwise use any Photographs without Terra Firma’s prior written permission; or
  • allow employees, agents, or contractors to do any of the above.

Authorized use of Confidential Information is limited to internal business purposes related to purchasing from Terra Firma and reselling products in the ordinary course of your business. Photographs may not be used on your website, marketplace listings, social media, advertising, or any other medium without express written consent.

Any unauthorized sharing of pricing or Confidential Information, or any unauthorized reproduction or use of Photographs, is a material violation of these Terms. Terra Firma may immediately suspend or terminate your wholesale account, remove you from any loyalty or preferred-buyer program, revoke access to rare, discontinued, or obsolete parts, and pursue any other remedies available at law or in equity, including claims for copyright infringement. These obligations survive termination of your account.

SECTION 4 – TRADEMARK PROTECTION

“Terra Firma Auto Group,” “Terra Firma,” “tfaspeed,” “tfaspeed.com,” and all related names, logos, trade dress, slogans, domain names, and other marks used in connection with the Service (collectively, the “Marks”) are trademarks, service marks, or trade names of Terra Firma or its licensors.

You may not use, copy, display, register, or apply to register any Mark, or any confusingly similar name, logo, or domain, without Terra Firma’s prior written consent. You may not:

  • use the Marks in a way that suggests sponsorship, endorsement, partnership, or official dealer status, except as Terra Firma has expressly authorized in writing;
  • use the Marks in metatags, advertising keywords, social-media handles, or marketplace store names;
  • alter, obscure, or remove any Mark from products, packaging, or materials supplied by Terra Firma; or
  • challenge Terra Firma’s ownership of the Marks.

Limited, factual reference to Terra Firma as the source of products you purchased is permitted in ordinary resale listings (for example, “sourced from Terra Firma”), provided the use is accurate, not misleading, and does not imitate Terra Firma’s branding.

Unauthorized use of the Marks is a material violation of these Terms and of applicable trademark law. Terra Firma may immediately suspend or terminate your wholesale account, remove you from any loyalty or preferred-buyer program, revoke access to rare, discontinued, or obsolete parts, demand that you cease the infringing use, and pursue all available legal remedies, including injunctive relief and damages. These obligations survive termination of your account.

Nothing in these Terms grants you any license to the Marks except the limited factual-reference use described above.

SECTION 5 – NO REPRODUCTION OF CONTENT

No part of the Service may be reproduced without Terra Firma’s prior written permission.

This prohibition is explicit and applies to all content on tfaspeed.com and all materials Terra Firma provides to you, including without limitation:

  • Photographs and other images;
  • product descriptions, titles, and specifications;
  • fitment notes, catalog data, and research;
  • pricing and availability information;
  • page layouts, graphics, logos, and design elements;
  • videos, text, and downloadable files; and
  • any compilation or selection of the foregoing.

You may not copy, reproduce, republish, upload, post, transmit, scrape, crawl, frame, mirror, translate, modify, create derivative works from, distribute, or commercially exploit any such content, in whole or in part, in any medium (including your own website, marketplaces, social media, print, or advertising), except:

  • temporary caching incidental to ordinary browser use of the site; or
  • use that Terra Firma has authorized in a signed writing.

Purchase of products does not grant any right to reproduce Terra Firma’s content or Photographs for your listings or marketing.

Any reproduction in violation of this Section is a material breach of these Terms and of applicable copyright law. Terra Firma may immediately suspend or terminate your wholesale account, remove you from any loyalty or preferred-buyer program, revoke access to rare, discontinued, or obsolete parts, issue takedown notices, and pursue all available remedies, including injunctive relief, damages, and recovery of attorneys’ fees where permitted. These obligations survive termination of your account.

SECTION 6 – STORE TERMS AND PROHIBITED USES

You may not use the Service for any illegal purpose or in violation of applicable law. You may not transmit malware or exploit the Service without our written permission.

You may not use the site to: violate law; infringe intellectual property; harass or discriminate; submit false information; scrape, spam, or interfere with security; or engage in any other abusive conduct. Violation may result in immediate termination of access.

We may refuse service to anyone at any time.

Content other than payment-card data may travel unencrypted. Card data is encrypted in transit.

SECTION 7 – PRODUCTS, PRICING, AND INFORMATION

Site information is provided as-is. Descriptions, images, prices, and availability may change without notice. Monitor colors may not match the product. We may limit quantities, discontinue products, refuse or cancel orders (including orders that appear to be from unauthorized resellers), and correct errors even after an order is submitted.

Products are sold “as is” except as expressly stated. We do not warrant that products will meet your particular expectations.

You agree to keep billing and account information current. We may refuse, limit, or cancel any order and will attempt to notify you using the contact information on the order.

SECTION 8 – RETURNS

8.1 Eligibility
We accept returns only of items that are unused, uninstalled, in new resalable condition, and in complete, undamaged original packaging, received by us within 30 days of purchase, subject to the exclusions and fees below.

Any indication of use or attempted installation voids refund eligibility. We do not accept returns of installed items for any reason. If you believe an item is defective or damaged, email sales@terrafirmaautomotive.com before installation.

We may deny excessive return requests.

8.2 Automatic restocking fees
Every eligible return is subject to a restocking fee:

  • 20% of the product purchase price on standard eligible items;
  • 20% to 30% on kits, depending on complexity, as determined by Terra Firma;
  • 20% on brakes, rotors, and other brake-related items in all cases, including store-credit returns.

Store credit (discretionary). At our sole discretion, we may accept an otherwise eligible item for store credit at a reduced restocking fee of 5% (U.S.) or 8% (international), except kits, brakes, rotors, and brake-related items, which remain at 20%.

8.3 RMA required
You must obtain a Return Merchandise Authorization (RMA) before shipping anything back. Email sales@terrafirmaautomotive.com with your 5-digit Terra Firma order number in the subject line and the reason for return. We require proof of purchase and compliance with this policy and the RMA instructions.

Do not ship the item to the manufacturer.

Returns without an RMA may be refused. If we accept one at our discretion, additional fees apply, including a processing fee of up to 50%. You also pay extra shipping we incur from refused delivery, failed delivery attempts, incorrect address, or customs.

8.4 Return shipping and refund processing
Buyer pays return shipping to Terra Firma’s Athens, Georgia warehouse and bears risk of loss in transit. Use adequate packaging.

Outbound shipping is non-refundable and is deducted from any refund.

After inspection we will email you whether the return is approved or rejected. Approved returns are refunded to the original payment method or issued as store credit, based on your request and eligibility. Bank posting times vary.

If a return is rejected, return of the item to you is your cost and risk.

8.5 Return exclusions — no returns for any reason

  • electrical parts
  • books
  • decals
  • special-order items
  • customized items

8.6 Our shipping error or confirmed defect
If we shipped the wrong item or a confirmed defective item, contact us within 7 days of receipt with photos. If we confirm the error, we will replace the item or refund it (including reasonable return shipping) without a restocking fee.

SECTION 9 – CANCELLATIONS

Email sales@terrafirmaautomotive.com within 15 minutes of placing the order. Include the 5-digit order number and reason.

Approved cancellations are subject to a 10% cancellation fee (12% for international customers) for non-refundable card and processing costs. Approval is at our sole discretion.

Once fulfillment has started—even if that is under 15 minutes—the order, if otherwise eligible, is treated as a return under Section 8, including restocking fees.

Special-order items cannot be canceled. They are ordered from our supplier specifically for you when you order.

We may assess a 10% or higher fee on orders we cancel for suspected fraud or association with prior high-risk orders.

SECTION 10 – UNDELIVERABLE ORDERS AND MISSING REFUNDS

Orders returned to us for address problems (insufficient or incorrect address, unpaid duties/taxes, etc.) are abandoned if you do not contact us within 30 days of our receipt of the package. Carrier-returned shipments may not be refundable because of return costs.

You are responsible for extra shipping and related charges from refused delivery, failed attempts, bad address, or customs.

If a refund has not appeared: check your bank, then your card issuer, then your bank. If it still has not posted, email sales@terrafirmaautomotive.com.

SECTION 11 – CHARGEBACKS, COLLECTIONS, AND ACCESS

We may recover all costs of customer-filed chargebacks, including staff time, special-order costs, packaging, attorneys’ fees, and collection-agency fees. We may send unpaid amounts to collections and bill you for time spent on these issues.

If we grant a cancellation, refund, or return, we may revoke access to rare, discontinued, or obsolete parts.

Any customer who files a chargeback, or threatens to file one, is automatically excluded from any wholesale and/or loyalty program and from access to rare, discontinued, or obsolete parts.

SECTION 12 – OPTIONAL TOOLS AND THIRD-PARTY LINKS

Third-party tools and links are provided “as is,” without endorsement. We are not liable for your use of them. Direct complaints about third-party products to that third party.

SECTION 13 – COMMENTS AND SUBMISSIONS

Materials you send us may be used without restriction or compensation. You represent they do not violate third-party rights or contain unlawful content. We may remove content at our discretion.

SECTION 14 – PRIVACY

Personal and business information submitted through the store is governed by our Privacy Policy.

SECTION 15 – ERRORS

We may correct typographical, pricing, availability, and similar errors and cancel affected orders without prior notice, including after you submit an order.

SECTION 16 – DISCLAIMER AND LIMITATION OF LIABILITY

THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRA FIRMA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM THE SERVICE OR PRODUCTS. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Where a jurisdiction does not allow certain limits, our liability is limited to the fullest extent permitted by law.

SECTION 17 – INDEMNIFICATION

You will indemnify, defend, and hold harmless Terra Firma and its officers, directors, employees, agents, and affiliates from claims, losses, and reasonable attorneys’ fees arising from your breach of these Terms, your violation of law, or your infringement of third-party rights.

SECTION 18 – TERMINATION

These Terms remain in effect until terminated. We may suspend or terminate access at any time, including for violation of Section 3 (Confidentiality of Pricing, Data, and Photographs), Section 4 (Trademark Protection), or Section 5 (No Reproduction of Content). Accrued payment, confidentiality, photograph restrictions, trademark restrictions, no-reproduction obligations, indemnification, and similar obligations survive.

SECTION 19 – SEVERABILITY AND ENTIRE AGREEMENT

If any provision is unenforceable, it will be modified only as needed to make it enforceable; the rest remains in force. Failure to enforce a provision is not a waiver.

These Terms, site policies, and any written wholesale acknowledgments are the entire agreement and supersede prior communications. Ambiguities are not construed against the drafter.

SECTION 20 – GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Exclusive venue is the state or federal courts in Athens-Clarke County, Georgia. You consent to personal jurisdiction there.
